📜 TERMS & CONDITIONS – ORBIT GLOBAL ADS

These Terms & Conditions (“Terms”, “Agreement”) govern all services provided by Orbit Global Ads (“Company”, “We”, “Our”, “Us”) to any client (“You”, “Client”, “Your”).

By engaging with our services, browsing our website, submitting enquiry forms, or accepting quotations, you agree to these Terms & Conditions.

1. PROJECT SCOPE & SERVICE LIMITATIONS

1.1 All services are delivered strictly as per the final approved quotation, proposal, or scope document.
1.2 Any change in scope, features, content, modules, ad spend, platform, or strategy will be considered additional work and will be billed separately.
1.3 Orbit Global Ads is not responsible for work outside the agreed scope unless explicitly approved in writing.
1.4 Estimated timelines are based on client cooperation; delays in content/data from client may push delivery dates forward.

2. PAYMENT TERMS

2.1 Payments must be made 100% on time as per the invoice and project plan.
2.2 Work will begin only after the initial payment as mentioned in the quotation (advance amount varies per project).
2.3 All payments are non-refundable, including advances, retainers, and subscription-based services.
2.4 Taxes, platform fees, gateway charges, media buying cost, and advertising budgets are additional unless clearly mentioned.
2.5 For monthly retainers or ads management plans, the fee must be paid before the next billing cycle.

3. PAYMENT FAILURE & SERVICE SUSPENSION

3.1 If payment is delayed by more than 3 days, Orbit Global Ads may pause all services without prior notice.
3.2 If payment is delayed by more than 7 days, the project may be permanently stopped or cancelled.
3.3 If a campaign is paused due to non-payment, Orbit Global Ads is not responsible for loss of leads, ranking, performance, brand visibility, or campaign results.
3.4 A revival fee may apply to restart the project after long-term inactivation.

4. CLIENT RESPONSIBILITIES & SUPPORT

The client must provide:

✔ Required data, text, images, product information, documents
✔ Login access (as required)
✔ Payment gateway documents
✔ Brand assets (logo, fonts, brand guidelines)
✔ Ad account access (if applicable)
✔ Timely approvals

4.1 Delays in providing content, approvals, or feedback will delay the project delivery.
4.2 Orbit Global Ads is not liable for project delays caused by the client’s late response.
4.3 If content is not provided within the timeline, Orbit Global Ads reserves the right to close the project and consider it delivered.

5. APPROVALS, REVISIONS & CHANGES

5.1 The client must approve work within the timeline to avoid delays.
5.2 Minor revisions (like text changes) are included; major redesigns are chargeable.
5.3 If the client requests changes AFTER final approval, additional charges apply.
5.4 Revision limits are strictly as per proposal (e.g., 2-3 rounds).
5.5 Once approved, no free revisions will be provided.

6. AD SPEND & CAMPAIGN RESPONSIBILITY

6.1 Advertising budget (Meta, Google, YouTube, LinkedIn) is paid directly by the client.
6.2 Performance may vary depending on market conditions, competition, ad policies, and product quality.
6.3 Orbit Global Ads is not responsible for platform policy issues, bans, ad disapprovals, or restricted industry limitations.
6.4 Client must ensure product listings, ad creatives, and brand claims follow legal and platform guidelines.

7. WEBSITE, SEO & DEVELOPMENT POLICY

7.1 After project delivery and approval, any changes will be billable.
7.2 Domain & hosting are the client’s responsibility (unless purchased through us).
7.3 Third-party plugin fees, renewal fees, and app subscriptions are always additional.
7.4 SEO results depend on competition and search algorithm; no fixed guarantee is provided.

8. REFUNDS & CANCELLATION

8.1 No refunds will be issued under any circumstances once work has started.
8.2 Setup fees, subscription fees, design fees, and advertising fees are non-refundable.
8.3 If the client cancels the project midway, all completed work must be paid in full.

9. INTELLECTUAL PROPERTY

9.1 Final approved designs belong to the client after full payment.
9.2 Working files, drafts, RAW files, PSDs, or open project files are NOT included unless purchased separately.
9.3 Orbit Global Ads may showcase completed work in its portfolio, ads, and case studies.

10. CONFIDENTIALITY

10.1 Both parties agree to keep documents, strategies, data, and project information confidential.
10.2 Confidential data will not be shared or sold.

11. TERMINATION

Orbit Global Ads may terminate services if:

Client fails to pay

Client behaves unprofessionally

Client violates platform/company policies

Client demands illegal/false marketing content

Upon termination, all delivered work remains billable.

12. LIMITATION OF LIABILITY

Orbit Global Ads is NOT liable for:

Loss in business

Low performance due to market conditions

Ad disapprovals or policy restrictions

Technical errors on third-party platforms

Client’s internal sales conversion failure

Loss of data caused by client negligence

Maximum liability is limited to the fee paid for that particular month or project.

13. JURISDICTION

All disputes are subject to Chandigarh / Mohali jurisdiction only.
